Supervisory Board

The Supervisory Board reviews whether the policy and input of the CEO reflect the interests of the organisation with respect to its public service role, and whether the CEO has duly considered the concerns of the different parties interested in the foundation.

The Supervisory Board has been entrusted with the following tasks and areas of authority:

  • supervising and monitoring the identity of the organisation;
  • ensuring that the board is functional (by appointing, evaluating, suspending and dismissing (members of) the board);
  • determining how many members the board should have;
  • monitoring the normative context in which the board of the foundation operates;
  • arranging properly functional internal supervision (by appointing, evaluating, suspending and dismissing (members of) the Supervisory Board);
  • advising and providing feedback to the board;
  • integral supervision of the board´s policy and the general state of affairs within the foundation;
  • evaluating and - if prescribed by the articles of the association - approving decisions by the board;
  • supervising policy for information, awareness, advocacy, fundraising and effective allocation of resources obtained.

The Supervisory Board also ensures that the policy implemented by the board corresponds with the (multi-annual) policy plans and budgets that have been adopted and approved. The Supervisory Board and the CEO agree on the benchmarks to be applied by the Board. The Board shall base these on external codes and guidelines and shall review compliance periodically.
